【中文摘要】 跨国公司是生产国际化和世界科技高度发展的产物，日益受到各国政府、企业和学术界的普遍关注。特别是随着经济全球化进程的加快，跨国公司已成为地球村中的骄子和世界经济舞台上的主角。进入21世纪，跨国公司的作用进一步加强，成为在世界范围内配置资源的核心力量。随着跨国公司的大发展，人类社会正从国家与国家之间的分工与交换的时代，走向企业内及企业之间的国际分工与交换的时代，企业的国际一体化生产体系正在形成。跨国公司也成为了经济学界的一个世界性研究课题。在跨国公司研究中，国外经济学界作出了重大贡献。从90年代中期开始，我国对跨国公司的研究有了一定发展。但还有许多空白的领域需要人们去研究。 本文试图综合运用马克思主义经济理论和西方新制度经济理论，分析跨国公司产权制度的变迁。首先简述了马克思主义产权制度变迁理论和西方新制度经济学的制度和制度变迁理论，并进行了比较分析；然后运用分工理论和交易费用理论分析了跨国公司产权制度变迁的过程，简述了跨国公司中并购热潮的动因和国际战略联盟的产生，并对解释跨国公司行为的其他理论作了比较分析和简要评价。在文章的最后，分析了跨国公司产权制度的变迁对中国企业国际化的启示...
